Cancellation of a Registered Business (to be reviewed with legal expert)
Businesses are cancelled by the NRC from the Commercial Register in the following cases:
1. in case of termination and nullity of the juridical entities 2. in case of termination of the exercising of the business economic activities of the physical persons 3. in case of dissolution of the simple partnership 4. in other cases as provided by law
Cancellations are performed as follows:
a) voluntarily on the request of the subject b) based on a definitive court decision c) or in other cases as provided by specific laws
Types of cancellations:
a) Voluntary cancellation:
1. For the physical person, voluntary cancellations are done through application for cancellation. This application may be done together with the notice for the termination of the economic activity or in a subsequent moment.
2. For juridical entities, for branches and representation offices of foreign companies, the voluntary cancellation is performed through application for cancellation and the filing of the appropriate documents verifying the performance and the closure of the liquidation procedures in conformity with the law in force. The cancellation is not performed in case when the intermediate acts or documents of the liquidation process according to the law in force are not provided and filed with the Commercial Register in conformity with the present Law.
b) Cancellation in case of death:
In case of death of a physical person, cancellation can be accomplished on request of any interested party and by filing the appropriate documents. Furthermore, any interested party may request cancellation of the physical person from the Commercial Register by filing a Court decision declaring the person's death.
c) Cancellations by decision of other authorities:
The cancellation from the Commercial Register by decision of other authorities happens on the basis of: 1.A definitive decision of the court 2. A definitive decision of another public institution as foreseen by other specific laws. 3. In case of nullity of the juridical entity, liquidation by Court procedures, bankruptcy, or in any other cases provided by law.
NRC Approval of Cancellation?
NRC cancels the registration of a subject within 1 (one) day after a final decision is taken.
Consequences of Cancellation:
1. Cancellation of the juridical entity from the Commercial Register causes the loss of the juridical personality of Subjects, unless otherwise provided by special laws.
2. Cancellation from the Commercial Register of the Physical Persons, Branches and Representation Offices of the foreign companies, Simple Partnerships according to the Civil Code, as well as for other Subjects that according to the law in force do not gain juridical personality by means of such registration, possesses only declarative effects.
3. The cancelled subjects are responsible for outstanding obligations toward third parties and public authorities in conformity with the law in force.
